Website use
The public website provides information about services and examples of work. Content is supplied in good faith but does not constitute a binding offer, guarantee or professional legal, tax or financial advice. Users must not attempt unauthorised access, interfere with security, upload malicious material or use forms for spam or unlawful purposes.
Project requests
Submitting a form does not create a contract. A project begins only after a specific proposal has been issued and accepted in the prescribed manner, and any required initial payment has been confirmed. The provider may decline a request that is unlawful, technically inappropriate, outside scope, incompatible with available capacity or presents an unacceptable risk.
Proposals and electronic acceptance
Each proposal may define scope, phases, deliverables, indicative dates, fees, expenses, assumptions and exclusions. Acceptance may require a secure link, confirmation checkbox and typed full name. The accepted proposal version is recorded in the project timeline. Changes after acceptance require written agreement, an approved expense or a revised proposal.
Unless the proposal states otherwise, delivery dates are estimates and may change because of client delays, third-party services, requested changes, force majeure or technical dependencies.
Payment schedule and expenses
Project expenses—such as hosting, domains, certificates, licences or external services—are separate from professional fees. They may be marked as already agreed or submitted for client approval. A client may approve, reject or request clarification, but cannot alter the proposed amount through the portal.
Payment confirmations generated by the system record a manually entered payment and are not tax invoices unless expressly identified as such.
Phases, approvals and revisions
Unless a proposal states otherwise, each phase includes up to two revisions. A client request counts as a revision only after the provider classifies it as an included revision. Clarifications, rejected requests and out-of-scope work do not automatically consume a revision. Extra or out-of-scope work may require a new fee or expense approval.
A phase can be technically approved even when payment is pending, but the next phase may remain locked until the required payment has been recorded. Administrative manual unlocks are exceptional and logged with a reason.
Client responsibilities
The client must provide accurate information, lawful materials, timely feedback, authorised access credentials and approvals. The client is responsible for rights and licences relating to supplied text, images, trademarks, databases and other materials. Delays in providing required information may move estimated delivery dates.
Intellectual property
Pre-existing tools, libraries, reusable modules, frameworks, methods and know-how remain the property of their respective owners. Rights in custom deliverables transfer only to the extent stated in the accepted proposal and normally after full payment. Third-party software, fonts, stock assets, plugins and services remain subject to their own licences.
Unless confidentiality or the proposal prevents it, the provider may identify the completed project in a professional portfolio without disclosing confidential information.
Third-party services
Domains, hosting, certificates, payment providers, plugins, APIs, search engines and external platforms are controlled by third parties. Their availability, policies, prices and technical behaviour may change independently. The provider is not responsible for failures outside reasonable control but will provide appropriate assistance within the agreed scope.
Testing, maintenance and limitations
Deliverables are tested according to the agreed scope and reasonable professional standards. Continuous compatibility, uninterrupted operation, rankings, traffic, sales or security against every possible threat cannot be guaranteed. Maintenance, updates, backups, monitoring and content management are included only where expressly agreed.
Nothing in these terms excludes liability where exclusion is prohibited by law. Subject to mandatory law and the specific proposal, liability is limited to direct, foreseeable loss arising from the relevant service and, where legally permitted, to the fees paid for that service.
On Hold, suspension, cancellation and completion
On Hold
A temporary operational pause. The project retains its current state and can resume from the same point.
Suspended
A more formal stop caused by payment, cooperation, risk or another material reason. Pending obligations remain recorded.
Cancelled
The project is closed before completion. The client keeps read-only access and may request reactivation, which requires provider approval and may require a revised proposal.
Finished
The project is completed, finally approved and financially settled, subject to any continuing maintenance agreement.
Amounts for completed work, approved expenses and non-refundable third-party purchases remain due on suspension or cancellation. Additional consequences may be defined in the proposal.
Confidentiality and data
Each party should protect confidential information received during the project. Personal data is processed as described in the Privacy Policy. Credentials should be shared using secure channels and changed when access is no longer needed.
Consumers
Where the client qualifies as a consumer, mandatory consumer-protection rights remain unaffected. Any right of withdrawal, digital-content exception or request to begin work during a withdrawal period will be handled according to the applicable facts and documents for that engagement.
Applicable law and disputes
These general terms and project proposals are governed by Italian law, without prejudice to mandatory protections that apply to consumers. The parties should first attempt to resolve disputes in good faith. The competent court will be determined by applicable law and the specific client status; no clause here overrides a mandatory consumer forum.
